3.1 Sensitive Personal Information and other information collected Clause 2 shall be used in the manner described below: 

  • Registered user name: The registered user name shall be used to customize the Services availed by the user through the Website and to personalize all communications that are sent to the user by us.

2.1 Our Website is an Online Marketplace through which we enable Vendors to market, advertise and sell handicrafts & artefacts viz. wall art, sculptures, photographs, architectural elements, furniture, home décor items, or any other such products (“Product(s)”) to Customers (as elaborated below) subject to the clients' compliance with and acceptance of Circa's Terms of Use.

2.2 For the purposes of these Terms of Use,

Applicable Law” shall mean any statute, law, regulation, ordinance, rule, judgment, notification, rule of common law, Order, decree, bye-law, government approval, directive, guideline, requirement or other governmental restriction, or any similar form of decision of, or determination by, or any interpretation, policy or administration, having the force of law of any of the foregoing, by any Authority having jurisdiction over the matter in question, whether in effect as of the date of these Terms of Use or thereafter;

Authority” shall mean any national, state, provincial, local or similar government, governmental, regulatory or administrative authority, branch, agency, any statutory body or commission or any non-governmental regulatory or administrative authority, body or other organization to the extent that the rules, regulations and standards, requirements, procedures or Orders of such authority, body or other organization that have the force of Applicable Law or any court, tribunal, arbitral or judicial body in India;

Customer” shall mean any any natural or legal person who uses the Website to purchase the Products that are being sold by the Vendor on the Website;

"Vendor” shall mean any natural or legal person who uses the Website to market and sell the Products to the Customers.

 

  1. Platform for Customers and Vendors:

3.1 This Website acts as a facilitator between the Vendor and Customer for the purchase of Products. A Customer may purchase Products on the Website without mandatorily registering on the Website, by providing the relevant details as necessitated. However, in order to gain access to our exclusive Product listings, the Customers must register themselves on the Website (“Registered Customer(s)”). Such Registered Customer’s details may be verified by the Website by a detailed process which may even include a detailed telephonic conversation between the Website and the Registered Customer. Every Registered Customer shall allocate themselves a unique identification user name and password ("User ID" and "Password").

If the clients use the Website as Registered Customers, the clients are responsible for maintaining the confidentiality of their User ID and Password. They are responsible for all activities that occur under their User ID and Password.

The client (whether or not a Registered Customer) agrees, inter alia, to provide true, accurate, current and complete information about oneself as prompted by the Website registration form. If the client provides any information that is untrue, inaccurate, not current or incomplete or Circa has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Circa reserves the right to indefinitely suspend, terminate or block / refuse to provide the said client with access to the Website. 

3.2 Circa is neither a party to, nor in control in any manner any transaction between the Vendors and clients for the purchase of Product (s).

3.3 All commercial / contractual terms including price, payment methods, time period of delivery, packaging costs, shipping costs, mode of delivery, payment obligations, warranties related to Products and return and refund policy of the Products are offered by and agreed to between Customer and Vendor alone. Circa does not have any control and neither does it determine in any way, the offering or acceptance of such commercial / contractual terms between the Customer and Vendor.

3.4 Circa does not make any representation or warranties as to the specifics of the Product (s) proposed to be sold or offered to be sold or purchased on the Website. Circa does not accept any liability whatsoever for any errors or omissions, whether on behalf of itself or third parties.

3.5 Circa is not responsible for any non-performance or breach of any contractual agreement entered into between Customer and Vendor. We shall not be required to mediate or resolve any dispute or disagreement between Customer(s) and Vendor(s). However, We shall take all reasonable steps to try and ensure a peaceful and amicable settlement between the Vendor and Customer.

3.6 Circa does not, at any point of time, during any transaction between Customer and Vendor on the Website come into or take possession of any of the Product (s) offered by the Vendor nor does Circa, at any point of time, gain title to or have any rights or claims over the Product (s) offered by the Vendor to Customer.

3.7 Circa website is only a platform that can be utilized by Vendors to gain access to its Customer base to market and sell their Products, and for the Clients to gain access to curated Products being sold by the Vendors. At no time shall the Website hold any right, title or interest over the products nor shall it have any obligations or liabilities in respect of any such contract.

Representations, Warranties and Obligations ofthe WebsiteWe hereby represent and warrant that (a) We are a duly registered private company as under the relevant provisions of the Companies Act 2013; (b) We are in compliance with the Applicable Law to provide Services, subject to these Terms of Use; (c) We will comply with the Privacy Policy and ensure data security of the Users at all times;

Representations, Warranties and Obligations of the Customer: The Customer hereby represents and warrants that (a) You are a natural or legal person, competent to contract, and have read, understood and agreed to be bound by these Terms of Use; (b) They shall provide accurate information and details at the time of registration; (c) They shall not default in making payments for Products bought from the Vendor through the Website; (d) They agree and acknowledge the fact that there shall be minor differences between the Product image and the Product in physical form; (e) They shall not demand for refund/ replacement of the Product for such minor variations; and (f) They agree and acknowledge that once the order has been placed on the Website for a Product, they shall not be allowed to cancel or modify the order.

6.1.2 All Company’s content included on the Website, including but not limited to, text, graphics, logos, designs, photographs, button icons, images, video clips, digital downloads, data compilations etc., is Our property and is protected by the Applicable Laws with respect to intellectual property rights. The compilation of all content on this Website is Our exclusive property, and shall not be reproduced or used without express written permission from Us. We reserve the right to terminate our engagement with You, if We, in Our sole and absolute discretion, believe that You are in violation of this clause.

By providing the said information, the client (s) represents and warrants that the client (s) is (are) entitled to submit it and that it is neither confidential nor is it not in violation of any law, contractual restrictions or any other third party rights (including any intellectual property rights).

7.1 The Website may contain links to other websites ("Linked Sites"). The Linked Sites are not under the control of the Website. 7.2 Circa is not responsible for any form of transmission, whatsoever, received by the client from any Linked Site. Circa provides these links only for the convenience of the client, and the inclusion of any such link (s) does not imply endorsement by the Website, of the Linked Sites or any association with its operator (s) or owner (s) including the legal heirs or assigns thereof.

7.3 On accessing the Linked Sites, the client shall be governed by the terms of use, privacy policy and such other additional policies of the Linked Sites. The client further acknowledges and agrees that Circa shall not be responsible for or liable for, directly or indirectly, any damage and / or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, advertising, products, services or other materials available on or through any Linked Sites or for any errors, defamatory content, libel, slander, omissions, falsehoods, obscene content, pornographic material, or any profanity contained therein.

 

  1. Payment Terms

8.1 The Customer on placing an order on the Website, shall be directed to a third party payment gateway (“Third Party Payment Gateway”). The Customer shall make payments for Products purchased through the Website through Net Banking/Credit Card/Debit Card/ Online Wallet or any other method provided by the Third Party Payment Gateway.

All payments for products purchased on Circa are via a secure third party payment gateway methods like Net Banking / Credit Card / Debit Card / Online Wallet or the likes. 

8.2 The Customer agrees and accepts that all nuances and modalities relating to making payment using Third Party Payment Gateway shall be separately governed by arrangement(s) / terms and conditions between You and the relevant banks/ Third Party Payment Gateway. We shall not be responsible, in any manner whatsoever, for any liability that may arise in relation to the payments made through Third Party Payment Gateway.

The process of making the payments via the third party gateway is governed by a separate set of terms & conditions between the client & the relevant party (ies). The client agrees to indemnify Circa for any and all liabilities that may arise in relation to the said transactions.

8.3 While availing any of the payment method(s) available on the Website, We will not be responsible or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to You due to (a) Lack of authorization for any transactions; (b) Any payment issues arising out of the transaction or (c) Decline of such transaction for any reason. Circa shall not be responsible, nor shall it assume any liability for any loss or damage, whether immediate or latent, direct or indirect due to but not limited to: (a) Lack of authorization for any transaction (s); (b) Any payment issues arising out of any transaction (s) or (c) Decline of any transaction (s) for any reason.

8.4 The client understands, accepts and agrees that the payment facility provided Circa / the Website , is neither a banking nor financial service but is merely a facilitation service vide provision of an automated online electronic payment, collection and remittance facility for the transaction (s) between the Client and the Vendor via the Website using the existing authorized banking infrastructure and credit card payment gateway networks. By providing the said payment facility, Circa is neither acting as a trustee nor in any fiduciary capacity with respect to the payment (s) made by the client against the purchase of Product (s) made on the Website.

8.5 The Website reserves the right to refuse, to process any request for Service availed by a User with a prior history of questionable charges including without limitation, breach of any agreements by such User with Circa, or breach/violation of any Applicable Law.

8.6 You understand, accept and agree that all payments made by the Customer shall be to the Vendor based on the invoicing of the Vendor to the Customer. With respect to payments, Our role is limited to acting as facilitators in making payments from Customer to Vendor using Third Party Payment Gateway.

The client understands & agrees that any and all payments made are to the vendor (s) for the purchases made on the website. Circa’s part is limited to that of a facilitator between the vendor & the client using Third Party Payment Gateway.

8.7 Any Sales Tax, VAT or any other applicable taxes accruing out of the sale shall be borne by the Vendor.

 

  1. Modification and Cancellation/ Refund and Replacement

9.1 Circa shall not assent to any request for modification or cancellation of purchase / booked items.

9.2 Any and  all requests for refund / replacement shall be as per the terms of sale of the individual products, which are dictated  by individual Vendors in the Vendor Page on the Website.

9.3 Should there be a request for a refund, and should the same have been accepted by the vendor of the object in question, the refundable amount shall be electronically wired within 45 days’ time.

If the order is requested for refund, after payment has been processed, and if the refund is approved by the Vendor, the said amount will be refunded within a period of 45 (Forty Five) days through electronic payment.

 

  1. Privacy

The Website collects, stores, processes and uses Your information in accordance with Website’s Privacy Policy. By using the Website and / or by providing Your information, the user authorizes the collection and use of the information the user discloses on the Website in accordance with Website’s Privacy Policy.

12.2 Circa shall not be liable for any loss or damages suffered by the user / client due to any failure on the part of Vendor to supply the Product for any reason whatsoever, including but not limited to, partial or total damaged Product, incorrect Product, or other circumstances which may or may not be within the control of the Vendor.

12.3 Circa shall not be liable for any direct, indirect, incidental or consequential damages, whatsoever incurred by the user / client due to use of the Website’s Services or due to the non- availability of the Website Services.

12.4 If the user / client is dissatisfied or harmed by this Website or anything related with the Website, the sole remedy shall be to terminate these Terms of Use by unsubscribing on the Website.

12.5 Circa shall be entitled to disclose to the Authority, the particulars of the User engaged with the Website, as required by Applicable Law or by any directive or request from any government body, 

12.6 Circa shall be entitled to modify and / or amend any or all these terms and conditions at any time and the User shall be bound by such modification and / or amendment once such addition, variation or amendment is incorporated into these terms and conditions, and such amended terms and conditions are on the Website.

The client undertake to indemnify Circa, its officers & employees, for any losses or damages resulting from any third party claims or complaints arising from, or in connection with the clients’ actions on the Website, and / or breach of this Agreement.

14.1 We may terminate these Terms of Use with respect to You, immediately without notice in the event of any breach by You of these Terms of Use or any of our applicable policies, as posted on the Website from time to time or upon a misuse of the Services by You.

14.2 The user agrees that upon the termination of these Terms of Use, Circa may delete all information related to the user with respect to the Services availed by the user. Further, the user will no longer be able to log into the Website.
